(TSX:CWH) (the “ Company ”), a leading provider of gaming software systems and entertainment content to the online and remote gaming industry, is pleased to announce that it has entered into an agreement with a syndicate of underwriters, led by Clarus Securities Inc. (collectively, the “ Underwriters ”) pursuant to which the Company has agreed to issue and sell and the Underwriters have agreed to purchase on a “bought deal” basis, by way of private placement, an aggregate of 2,150,538 Common Shares of the Company at a price of $4.65 per Common Share, resulting in gross proceeds of $10,000,000. In addition, the Company has granted the Underwriters an option to increase the size of the offering by up to $1,000,000 at the same price per share which option is exercisable at any time prior to the closing.

The filing of the statements follows the adoption of a change in revenue recognition policy as previously announced in the Company's September 29 th press release. As anticipated at that time, the change is not adversely material to the financial statements. The statements can be viewed on SEDAR. The unaudited interim financial statements for the third quarter of 2004 reflected the change in policy.
