Chartwell Announces Internal Corporate Reorganization

November 26, 1999, Chartwell Technology Inc.(CWH-ASE) announces that it has sold the Internet gaming software application, Casino Casino, to its wholly owned subsidiary, Gamingtech Corporation ("Gamingtech"). The sale includes the source code for the Casino Casino software and exclusive rights to all gaming or wagering applications of the Software. Chartwell and its wholly owned U.S. subsidiary Gateway Technology Inc., have also assigned to Gamingtech all existing sub licensing agreements relating to the Casino Casino software. The effective date of the sale is November 1, 1999.

Gamingtech will assume responsibility for the marketing, sub licensing and operation of all gaming or wagering related applications of the Casino Casino software and for the administration of all of the existing Casino Casino software license agreements through its head office in Belize City, Belize. Gamingtech will sub license the Casino Casino software to parties holding valid Internet gaming licenses and will not own, operate or participate in the operation or management of any Internet Casino businesses. Mr. Richard Latham, a former officer and director of Gateway, has been appointed the President of Gamingtech.

Gamingtech's offices are located at 13½ Northern Highway, Boom Cutoff, Ladyville, Belize. Gamingtech's staff will include marketing and sales, customer service, programming and network specialists. The proximity of Gamingtech's new offices to existing Casino Casino licensees and to the potential market for new licensees is expected to achieve greater efficiency in customer services and will facilitate an increased level and rate of software sales. Gamingtech has obtained a business permit to conduct its CasinoCasino software licensing business and all necessary work permits for foreign personnel.

Chartwell has retained the right to utilize the Casino Casino source code or portions thereof in the development of software applications for sale or licencing in the entertainment, tournament, incentives and advertising markets. Chartwell's business is now focused on the development and marketing of "play for fun" applications for the existing 19 parlor games included in Casino Casino, the newly developed multi-player Bingo Bingo game and the development of new games and entertainment applications. Chartwell also retains its right to the proprietary IP tracking and e-commerce software which it has developed over the past year. Chartwell's goal is to achieve a significant level of penetration in the huge Internet entertainment content and e-commerce markets. To that end Chartwell has commenced an aggressive marketing campaign and development schedule for its new software applications.
